Please read these Terms of Use carefully. By subscribing to the OKTee platform and using its services, you accept these terms, unless specific terms are set out in a quote, order form or contract signed between the parties.

1. Purpose

KnGA SAS, operating under the commercial name OKTee, provides a SaaS software platform intended for e-commerce professionals, including brands, distributors and wholesalers operating on Amazon Vendor Central.

Depending on the modules enabled by the customer, the OKTee platform allows users to manage operations related to orders, procurement, business performance, financial monitoring, product catalog and marketing on Amazon.

• Supply: Command Center, order tracking and event log.
• Procurement: confirmation rate monitoring, capture rate and order-related opportunities.
• Finance: monitoring of financial and logistics risks, deductions, chargebacks, discrepancies and reconciliations when the data is available and authorized.
• Business: dashboards, performance indicators and business data analysis.
• Marketing: product page analysis, VIA Quality, VIA Offer, VIA Trust, Page Tracker and monitoring of visible online signals.
• Administration: profile, user, settings, catalog and access management.

These Terms of Use define the terms and conditions for accessing and using the Solution, as well as the rights and obligations of the parties.

3. Access to the Solution

The Solution is reserved for professionals with the legal capacity required to contract on behalf of their organization. It is strictly intended for professional use.

Access to the Solution is provided to the customer and its authorized users. The customer is responsible for managing its users, maintaining the confidentiality of credentials and all use made from its account.

4. Services provided

OKTee provides access to the modules subscribed to or enabled for the customer. Available features may vary depending on the subscription, Amazon rights granted, integrations implemented and data accessible.

Certain modules require a connection to the customer's Amazon Vendor Central account through the official Amazon SP-API. OKTee never directly asks the customer for Amazon credentials. The connection is performed through the official Amazon authorization flow.

Certain features may also require data retrieval from customer-authorized systems, including ERP, product catalog, internal APIs, or any other system validated by the customer.

5. Amazon data and customer data

Depending on the modules enabled and the permissions granted, OKTee may process data from Amazon Vendor Central, including order data, statuses, confirmations, shipments, inventory, catalog, prices, offers, performance, invoices, payments, deductions, chargebacks or discrepancies.

OKTee may also process data from customer-authorized systems, including the product catalog retrieved from the customer ERP through the OKTee API or through the customer's API. This data is used to match Amazon orders with internal references, stock rules, logistics rules and the customer's automation settings.

Amazon data and customer data are used only to provide the authorized services. They are not sold, shared for advertising purposes or used for independent purposes.

6. Availability and maintenance

OKTee uses reasonable efforts to ensure the availability, security and continuity of the Solution.

Temporary interruptions may occur for maintenance, updates, technical changes, incidents, security constraints or failures of third-party services, including Amazon, cloud providers, customer ERP systems or technical providers.

Unless a specific commitment is provided in a signed contract, these Terms of Use do not constitute a guaranteed service level commitment.

7. Subscription and term

Subscription, term, renewal and termination conditions are specified in the quote, order form, contract or specific terms applicable to the customer.

Unless otherwise specified, the subscription is entered into for an annual term and may be renewed under the conditions agreed between the parties.

8. Financial terms

Prices are expressed in euros excluding taxes, unless otherwise stated. They are defined in the applicable quote, order form or contract.

Any late payment may result in penalties, suspension of access to the Solution or any other measure provided for in the applicable contractual terms.

9. Customer obligations

The customer undertakes to use the Solution in accordance with these Terms of Use, applicable laws, applicable Amazon policies and the rights granted to OKTee.

• Provide accurate and up-to-date information;
• Authorize only approved users to access the Solution;
• Not share credentials or access with unauthorized persons;
• Not use the Solution for fraudulent, unlawful purposes or in violation of Amazon policies;
• Inform OKTee in case of suspected unauthorized access or security incident.

10. Liability

OKTee shall not be liable for indirect damages, loss of revenue, loss of margin, loss of business, loss of data not attributable to OKTee, or consequences related to the operation of third-party services.

OKTee does not control the decisions, rules, interfaces, APIs, policies, timelines or processing operated by Amazon, customer ERP systems, logistics providers, cloud providers or any other third-party service.

Analyses, alerts, scores, recommendations or estimates produced by OKTee are decision-support tools. The customer remains responsible for its operational, commercial, logistics and financial decisions.

11. Intellectual property

The Solution, its interfaces, modules, databases, methods, algorithms, content, trademarks, logos, designs and technical elements remain the exclusive property of KnGA or its licensors.

These Terms of Use do not transfer any intellectual property rights to the customer. The customer only receives a personal, non-exclusive, non-transferable right to use the Solution for the duration of its subscription.

12. Personal data

As part of the services provided, OKTee may act as a processor within the meaning of the GDPR for data processed on behalf of its customers.

Personal data processing activities are described in the Privacy Policy, the DPA, the Security page and the Sub-processors page.

For any question relating to personal data, the customer may contact OKTee at privacy@oktee.io.

13. Security

OKTee implements technical and organizational measures designed to protect the data processed through the Solution, including access control, rights limitation, encryption where applicable, logging and application monitoring.

The customer may revoke OKTee's access to its Amazon Vendor Central account from its Amazon interface where this option is available.

14. Suspension and termination

OKTee may suspend access to the Solution in the event of non-payment, breach of these Terms of Use, abusive use, security risk, request from a competent authority or behavior likely to harm the Solution, other customers or technical partners.

At the end of the contract, data return or deletion procedures are applied in accordance with the contractual terms, the Privacy Policy and the applicable DPA.

15. Changes to the Terms of Use

OKTee may modify these Terms of Use to reflect legal, technical, functional, commercial or security changes.

Customers will be informed of significant changes through reasonably appropriate means.

16. Governing law and competent jurisdiction

These Terms of Use are governed by French law.

In the event of a dispute between professionals relating to the interpretation, performance or termination of these Terms of Use, the competent courts shall be those within the jurisdiction of KnGA's registered office, unless otherwise required by mandatory law or a specific contractual agreement between the parties.
